Bernhard Capital Acquires New Mexico Gas Company

Bernhard Capital Partners closed its $1.25Billion purchase of New Mexico Gas Company on August 12, 2026, after state approval on July 30. For most people, the near-term picture is simple: gas service stays the same, the local team stays in place, and customers get rate credits plus a base rate freeze through January 2028.

Bernhard Capital Partners completed the purchase of New Mexico Gas Company through Saturn Utilities Holdco LLC, giving it 100% ownership of NMGC. Bernhard Capital Partners is a Louisiana-based private investment firm focused on services and infrastructure, with more than $6 billion in assets under management. Jeff Baudier, Senior Managing Director at Bernhard, had this to say of the acquisition:

From the beginning, we’ve believed this is an investment in exceptional people, a strong utility and the communities it serves. We look forward to closing the transaction, delivering on our commitments, and partnering with NMGC’s employees, leadership and Board of Directors to build on the company’s legacy of safe, reliable natural gas service.”

NMGC still operates as a regulated utility under private equity ownership. New Mexico Public Regulation Commission (state regulators) required financial separation between NMGC and its parent company, which is meant to keep utility cash and service from being pulled around by parent-level decisions. For regulators and customers, this helps limit risk. The ring-fencing and capital structure rules are designed to keep NMGC’s operations insulated from Bernhard’s broader portfolio. This structure also give the company clearer guardrails, make its structure easier to track, and help protect customers from weaker oversight or financial strain.

The company must also submit semi-annual reports on its ties to other Bernhard Capital-affiliated entities. That reporting helps regulators keep a close eye on those relationships and support safe, reliable service.
